Welcome to the terms of service (hereinafter "terms", "agreement") of Docusseum ("platform", "application", "we", "our services", "our website", "website"). Please read the content described here carefully, as these terms govern how you ("the user", "registered user or internal user", "unregistered user or external user") access and use our services through our website. Docusseum reserves the right to update and modify these terms at any time without notice to you. It is your responsibility to check these terms of service periodically for possible changes.
By accessing and using our services, you agree to be bound by these terms and to abide by such agreement with us. If you do not accept them, you lose the right to use any of our services and any legal claim. By using the application after a new version of our terms of service has been posted, you agree to be bound by the new version of the agreement, even without prior notice.
You may have additional consumer rights under local laws other than this agreement cannot change, you agree that these terms are intended to cover a mutual understanding for both parties, Docusseum and you, whose validity is set to the maximum extent permitted by applicable law. Docusseum reserves the right to suspend accounts that violate this agreement without notice.
Third party services associated with us exclude any implied warranties or conditions, including those of merchantability, fitness for a particular purpose, security, comfort and non-infringement.

Docusseum reserves the right to suspend or terminate the user's services without prior notice upon failure to qualify as described in this agreement.
To use our services, you must have access to the internet, and a device with an updated browser. The Docusseum service is offered through individual accounts for each user and which are associated with an organization. An organization is understood to be an entity that represents a group of one or more users within the application for commercial purposes and public interest.
The service allows multiple accounts to be associated with a single organization. That is, through the payment of a monthly subscription and additional seats.
By creating an account, you will get a free trial period that will allow you to use our services on a limited basis. Once the trial period has ended, you will have to pay a subscription to continue using our services and without the limits offered in the trial period.
Each user who enrolls in our services is assigned the role of root user within their organization (“Root User”). A Root User represents the primary user of each organization and gains the unique privileges of fully configuring your organization.
The Root User understands that he pays a fee, with a fixed cost trend but that may change without prior notice, of an individual nature for each user registered in his organization and under a monthly scheme, obtaining a subscription with the sole purpose of allowing him and his other users (if applicable), the benefit of using the software provided on the website, as well as a part of other services, which could be categorized as internal infrastructure and which could be data storage, use of servers, among others. Your subscription will attempt to renew automatically until you cancel.
To make a payment, it is necessary that you provide a payment method through an intermediary entity that validates said transaction, in this case through the Stripe service and the user accepts its additional terms and conditions that apply when using its service.
Docusseum does not store banking or credit card information and reserves the right to store information only for payment events, such as dates or descriptions for the sole purpose of monitoring the status of subscriptions for its users.
If necessary, additional users can join an organization, as long as there are additional seats available to your organization. Otherwise, the Root User may increase the number of seats available for its users.
It is the responsibility of the Root User to be highly careful with the management of the subscription, as well as the control of users who are added, promoted as administrators, deactivated and deleted.
Each change in the number of seats alters the way in which the subscription calculates its charge. The root user will not be charged immediately, instead, the charge will be present on the invoice for the following period, when the subscription is renewed.
The cost of the subscription in each invoice will be calculated by the number of seats registered in the organization multiplied by the cost of the fee, extending to possible prorations for debts or balances in favor, depending on the case, of the period prior to the current billing month.
The root user is free to cancel at any time. To do this, you must do it through the microsite that the Stripe service provides. After a cancellation, the user will be able to continue using the service normally until the end date of their subscription.
A user who has been deactivated will not be able to perform operations in the organization and their session will be terminated. Deactivated users are considered in the occupied seat counter in the organization.
To delete a user, they must first be deactivated. When a user is deleted, the Root User will get all the records related to this user. A deleted user frees up a space on the occupied seat counter in the organization.
It is the sole responsibility of users to securely maintain their own Google account with which they connect to our services. Docusseum is not responsible for the loss or hacking of Google account credentials belonging to users and the possible consequences that may affect information within our services.
The Root User understands that he is the only one in power to delete the organization's information from him and accepts that when deleting an organization, all records associated with it are completely destroyed and that the operation cannot be undone. These records can be Users, Profiles, Folios, Subscription Events, Document Templates, Price Books, Products, Provisions, Leads, Accounts, Contacts, Cases, Comments, Quotes, Orders, Invoices or Documents.
It is the complete responsibility of the Root User to be aware of the consequences of this type of irreversible actions and to do so only and only when needed.
The relationship between our services and the user is concluded as terminated, once the user deletes their organization, the subscription does not conclude its renewal after a while or, in specific cases, if a user manages to be deactivated by a root user.
Within our services, there are two ways to grant privileges to define the actions that a user can or cannot perform and they are: Roles and Profiles. It is the complete responsibility of the users to manage these configurations.
A Role is a permissive setting that allows a user to gain privileges to perform partial or complete operations within your organization. There are only two types of roles: Root User and Administrator User.
Root user. Represents the primary user of the organization and receives unique privileges to configure the whole organization, manage the subscription, view any record, or perform any operation.
Administrator. Represents users with limited privileges, unlike the root user. However, they can perform configuration operations on the organization or other users.
A Profile is a permissive configuration that allows a user to have limitations or not, on the type of operations they can perform on certain types of records. Each user can have one assigned profile.
When providing tools that perform numerical and price calculations, it is essential to define the rules that are used to obtain the results in the different logical processes, and that seek consistency, precision and usability. Different logical specifications that are implemented in our services are defined below.
Mathematical calculations may involve fractional parts of a number, described by a large number of digits after the decimal point (“decimal numbers”). There are possible computational limitations that may arise when working with decimal numbers, therefore, the results will be rounded by “counting half up” and using up to two digits in the precision of the fractional part of those numbers. That is, using the following rounding function in the JavaScript programming language.
Math.round( (decimal number to round) * 100) / 100
This rounding function is applied to calculate amounts, prices for products, subtotals, discounts, taxes and totals from which quotes, orders and invoices are made. Some examples of rounding can be, the decimal number 1.956636548, resulting in 1.96. Or 8.874, resulting in 8.87.
The currency in quotes, orders and invoices or documents will be defined by the currency obtained from the price book that has been selected to create said element. The currency can be presented by its symbol or its standard code according to the ISO 4217 standard.
Formats determine how thousands units, millions units, and what symbol that determines the fraction in a decimal number are displayed in items such as quotes, orders, and invoices.
The format may vary depending on the currency obtained from the price book and the user's local region.
Our tools adhere to global standards for web technologies, and as a standard, JavaScript is used to perform logical calculations in the user's browser ("web client"). It is advisable to use real figures when carrying out your activities and not enter figures that exceed the limitations of the programming language, such as numbers greater than 9,007,199,254,740,992, less than -9,007,199,254,740,992, that are composed of more than 20 figures, including the decimal digits and the negative symbol. Do not alter the structure of the HTML document manually or with utilities unrelated to our services.
Docusseum seeks to test each component with the best possible testing procedures and offer the best quality of services, however, it may happen that web components, logical processes or mathematical calculations present unexpected failures, whether they present any of the following conditions or not:

Access to viewing and signing public documents is part of what our services offer. Public documents are not merely public, they require specific keys to be viewed and signed, as a security measure. These keys are Document ID and Document Key.
Public documents have the property of being immutable (a property that does not allow new changes in their content) and the property that they can be signed (“signable document”, capable of being signed) by its user creator and a person who is not registered in our services (“external user”, person who is intended to be the contact related to the document itself). Once a document is signed by an external user, its Document Key is updated with a new one, invalidating the previous one.
By signing a document, the external user agrees to the application of these terms to the maximum extent permitted by applicable law. Otherwise he loses the right to use any of our services and to make any claim.
The external user agrees to have carefully read each document before signing it, as well as to have investigated the credibility of the identity that issues it and to verify that it is not a false or fraudulent organization. As well as he agrees to waive any claim towards Docusseum or our services in cases where the improper use of signed documents could result in conflicts or legal disputes involving internal users and external users (“both parties”).
Both parties agree to recognize Docusseum and our services only as the collaborative intermediary tooling service for both parties, and not as an entity of authority or legal jurisdiction. They also agree to cautiously protect and manage how and with whom security keys for viewing and signing public documents are shared.
Any text, information, material, record, image or document that you create or save using our services or software is defined as content. You are responsible for the content you use, generate or save using our services, and you acknowledge compliance with applicable your local laws, rules and regulations.
We do not represent or guarantee the truthfulness and accuracy of any content on our services. All content is the sole responsibility of the user who originated it and the organization to which it belongs. We may not monitor or control our content posted on our services, and we have no responsibility for the same.
We reserve the right to remove content that violates this agreement, illegal conduct, impersonation, or harassment without prior notice.
To the maximum extent permitted, to provide our services to you and other users, and to improve our products and services, you grant Docusseum a worldwide, royalty-free intellectual property license to use your content. For example, to make copies, retain, transmit, reformat, present and distribute using internal tools.
Please read our code of conduct, which dictates expected user behavior, as well as impermissible activities or prohibited conduct on our services. The code of conduct is an essential part of our terms of service and you agree to adhere to them.
Docusseum strives to take action when content or user behavior is a violation of our terms of service or code of conduct.
By accepting our terms of service, you agree that when you use our services you do not do any of the following scenarios or activities:
Docusseum has no obligation to monitor the content that is published on our services. However, Docusseum reserves the right to review the content that is published and delete any material, information, record or data in a merely discreet sense and without prior notice. We reserve the right to terminate your access to our services at any time, without notice and for any reason.
Docusseum reserves the right at all times to disclose any information, as long as Docusseum deems necessary to satisfy any applicable law, regulation, legal process or governmental request, to edit, refuse to post or to remove any information or materials, in whole or in partially, in a merely discreet way.
Always be careful when sharing personal information about yourself or those you know in any type of communication, Docusseum does not control or endorse the content or information collected with our tools. Users who collect and process information with our services are not directly related to Docusseum and are not authorized representatives of our services, platform or brand, and their views do not necessarily reflect those of Docusseum.
Our services may require, redirect, or suggest the use of third-party services in certain circumstances and/or for certain activities. Such use is subject to the terms and conditions of such third-party service and you must agree to the applicable provisions thereof. You agree that third parties may update software, services or functionality from time to time without notice.
From time to time, we may apply updates, patches, bug fixes or other maintenance to our application or services. We agree to use reasonable efforts to provide advance notice of any potential maintenance period, except for maintenance actions that qualify as emergency, and you agree to use reasonable efforts to comply with any maintenance requirements that we notify you of.
We implement industry standard security measures to protect user data. Users are responsible for maintaining the confidentiality of their account information and all activities that occur under their account. We strive to protect your data, but we cannot guarantee absolute security. By using our services, you acknowledge that you understand and agree to assume these risks.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DOCUSSUEM BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND, OR FOR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR FOR ANY LOSS OF DATA OR OTHER INTANGIBLE LOSSES INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, LOSS OF PROFITS, CORRUPTION OR LOSS OF DATA, FAILURE TO TRANSMIT OR RECEIVE ANY DATA, BUSINESS INTERRUPTION, COMMERCIAL LOSS OR OTHERWISE, WHETHER REASON OF NEGLIGENCE OR OTHER ILLEGAL ACTION, ARISING WITH THE USE OF THE SOFTWARE, DUE TO FAILURES IN CALCULATIONS, DATA OR DOCUMENTS, FAILURE TO PROVIDE SERVICES OR UNAVAILABILITY OF INFORMATION ON THE SERVICES. EVEN WHETHER OR NOT THE USER HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL DOCUSSEUM BE RESPONSIBLE FOR COVERING COSTS OF DAMAGES. IF YOU HAVE ANY BASIS FOR RECOVERING DAMAGES, YOU MAY ONLY RECOVER DIRECT DAMAGES UP TO THE AMOUNT YOU PAID FOR THE APP OR US$1.00, WHICHEVER IS GREATER.
The above statement applies to any damage, liability or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction or unauthorized access to, alteration or use, whether for breach of contract, tort, negligence or any other cause of action.
YOU EXPRESS KNOWLEDGE, UNDERSTANDING AND AGREE THAT USING OUR SOFTWARE OR SERVICES, EVEN IF YOU HAVE PAID FOR ANY SUBSCRIPTION OR NOT, IS AT YOUR OWN RISK AND YOU ASSUME THE RISK OF USING THEM.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE REPRESENT THAT WE PROVIDE SOFTWARE AND SERVICES ON AN “AS IS,” “WITH ALL ITS FAULTS”, AND “AS AVAILABLE” BASIS AND WITHOUT WARRANTY OF ANY KIND. THE ENTIRE RISK AS WELL AS THE QUALITY, SECURITY, CONVENIENCE AND PERFORMANCE OF THE APPLICATION IS WITH YOU. IN ANY CASE, THAT THE SOFTWARE OR SERVICES SHOW DEFECTS, YOU ASSUME THE ENTIRE COST OF SERVICING, REPAIR OR CORRECTION THAT MAY BE INVOLVED.
YOU MAY HAVE ADDITIONAL RIGHTS UNDER YOUR LOCAL LAWS WHICH THIS AGREEMENT CANNOT CHANGE. TO THE FULLEST POSSIBLE EXTENT PERMITTED BY LAW, WE EXCLUDE ALL WARRANTIES OR CONDITIONS OF ANY KIND, INCLUDING THOSE OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SECURITY, COMFORT AND NON-INFRINGEMENT.
Docusseum reserves the right to do any of the following, at any time and without notice: (1) modify, suspend or terminate operation of or access to our services, or any part of them, for any reason; (2) to modify or change our software, or any portion of it, including websites and services, and any applicable policies or terms; and (3) interrupt the operation of our software, our services, or any portion of the application, as necessary to perform routine or non-routine maintenance, error correction, or other changes.
You agree that all matters relating to your access or use of our services, including all disputes, will be governed by the laws of the Estados Unidos Mexicanos country and the laws of the State of Jalisco, without regard to any of your conflict of law provisions. You consent to the personal jurisdiction and venue of the Mexican state and federal courts and waive any objection to such jurisdiction or venue.

Stock quotes and index data (including index values). The financial information provided through our services is solely for your personal, non-commercial use. You may not use any financial data or trademarks of any third-party licensor in connection with the issuance, creation, sponsorship, marketing, marketing or promotion of any financial instrument or investment product (e.g., indices, derivatives, structured products). , investment funds, exchange-traded funds, investment portfolios, etc., where the price, performance and/or performance of the investment instrument or product is based on, is related to or is intended to track any of the financial data) without a written agreement with the third party licensor.
